Egységes szerkezetben a 2022. április 1. napjától hatályba lépő módosításokkal

I. AZ ÁSZF ALKALMAZÁSI KÖRE, ALAPFOGALMAK

1.§ A jelen Általános Szerződési Feltételekben foglalt rendelkezések irányadók valamennyi, a HAURATON Magyarország Kft (a továbbiakban: Eladó) által – a jelen Általános Szerződési Feltételek hatályba lépését követően – üzleti tevékenysége körében megkötésre kerülő egyedi fogyasztónak nem minősülő személlyel megkötött adásvételi szerződésre. Az Eladó a jelen ÁSZF rendelkezéseinek Vevő által megismerhetőségét az alábbiak szerint biztosítja:
– elsődlegesen az Eladó által mindenkor üzemeltetett internetes weboldalon a mindenkor hatályos szöveg elhelyezésével;
– a Vevő felé az Eladó által megküldött ajánlatban a közvetlen letölthetőséget biztosító internetes cím megadásával.
Az Eladó jogosult egyoldalúan a jelen ÁSZF rendelkezéseit módosítani, ebben az esetben azonban köteles a módosítást internetes weboldalán annak hatályba lépési időpontját megelőző legalább 30 nappal közzétenni. Eladó a módosítás hatályba lépésekor már meglévő szerződéses partnereit is ebben a formában tájékoztatja az ÁSZF változásáról.

2.§ Az ÁSZF-ben foglaltak a Vevővel létrejött adásvételi szerződés elválaszthatatlan részét képezik. Vevő az Eladó által felé megküldött ajánlat írásbeli elfogadásával (megrendelés), illetve amennyiben külön íven adásvételi szerződés kerül megkötésre, annak aláírásával az ÁSZF-ben foglaltakat elfogadottnak, egyedileg megtárgyaltnak és magára nézve kötelezőnek tekinti.

3.§ Jelen ÁSZF szerinti rendelkezésektől az adásvételi szerződésben eltérni csak írásban és kifejezett szerződési rendelkezés alapján lehet a felek kölcsönös és egybehangzó akaratnyilatkozata alapján. Az egyedi szerződésben nem szabályozott kérdésekben az ÁSZF, valamint az adott jogviszonyhoz kapcsolódó hatályos jogszabályi rendelkezések megfelelően irányadók. Amennyiben a megkötött adásvételi szerződés és az ÁSZF rendelkezései között eltérés van, az egyedi adásvételi szerződésben foglalt rendelkezés az irányadó az adott jogviszonyban.

4.§ Vevőnek minősül minden olyan gazdálkodó szervezet, aki az Eladóval annak üzleti tevékenységi körébe tartozó szerződést köt, és magára nézve a jelen ÁSZF-ben foglaltakat kötelezőnek ismeri el. A Vevő az ajánlatkérés időszakában ajánlatkérőnek minősül.

5.§ Félnek minősülnek a jelen ÁSZF, valamint a megkötésre került adásvételi szerződés alanyai.

6.§ Adásvételi szerződésnek minősül az Eladó és Vevő között az Eladó üzleti tevékenységi körében tartozó az érintett felek képviselői, vagy megbízottjai által aláírt írásba foglalt szerződés. Adásvételi szerződésnek minősül továbbá az Eladó írásbeli ajánlata, valamint a Vevő írásban arra megküldött megrendelésének tartalma is. Mindkét esetben jelen ÁSZF a létrejött szerződés elválaszthatatlan részét képezi. Amennyiben az ajánlat adása az Eladó oldaláról történt, akkor a szerződés tartalmát a Vevő írásbeli megrendelése, valamint az Eladó teljesítését igazoló szállítólevél és számla határozza meg. Eltérő rendelkezés hiányában az adásvételi szerződés megkötésének időpontjának a Vevő írásbeli megrendelésének kelte, vagy ha a felek között egyedi írásbeli szerződés kerül megkötésre, annak kelte számít.

II. AZ ELADÓ ADATAI

III. AZ ADÁSVÉTELI SZERZŐDÉS LÉTREJÖTTE

8.§ Szerződési ajánlat kérése érdekében megkeresés szóban, vagy írásban adható az Eladó irányába. Az Eladó a megkeresésre ügymenetétől függően, lehetőség szerint azonban rövid határidőben válaszol az írásbeli ajánlat megküldésével. Az ajánlatkérő ajánlatkérésével egyidejűleg köteles pontos postai, vagy elektronikus levelezési elérhetőségét az Eladó irányába megadni.

9.§ Az ajánlati kötöttség időtartamát az Eladó az ajánlatban közli ajánlatkérővel. Ezen időtartam lejártát követően a megküldött ajánlat hatályát veszti. Az ajánlatkérő az ajánlatot kizárólag írásban fogadhatja el (megrendelés). Ennek hiányában a felek között szerződés nem jön létre. Az ajánlatkérőnek az írásbeli megrendelésében a részére megküldött ajánlat egésze tekintetében kell nyilatkoznia, emellett pedig a megrendelt termék pontos szállítási helyét meg kell jelölnie, amennyiben nem raktári átvétellel kerül a termék átadásra. A termék átvételét megelőzően a Vevőnek írásban meg kell adnia Eladó felé azon személy(ek) körét, akik a termék átvételére jogosultak. Az ajánlatkérő írásbeli megrendelését kétféle formában küldheti meg Eladó felé:
– az írásbeli ajánlat átvételét követően külön íven írásos megrendelés formájában, vagy
– az Eladó által megküldött ajánlat megrendeléssel kapcsolatos záradékának megfelelő kitöltésével.
Vevő az írásbeli megrendelés megküldésével ismeri el, hogy a jelen ÁSZF rendelkezéseit megismerte azt magára nézve kötelezőnek fogadja el. Erre a Vevő figyelmét az ajánlatban Eladó köteles felhívni.

10.§ Az Eladó a legpontosabb ajánlat elkészítése érdekében ajánlatkérő kérése alapján műszaki tanácsadást is végez térítésmentesen. Az Eladó felé a tanácsadás időszakban megküldött, átadott, az ajánlat tartalmát befolyásoló információk helyességéért az ajánlatkérő felel. A megrendeléssel Vevő elismeri, hogy az ajánlat alapját képező műszaki információkat, megoldásokat ellenőrizte, és elfogadta.

11.§ Az Eladó az adott műszaki tanácsadás, valamint a műszaki tájékoztató tekintetében a változtatás jogát fenntartja.

12.§ Mind az Eladó, mind a Vevő/ajánlatkérő felel a nevében eljáró személy tevékenységéért, különösen a szerződés létrejötte és annak teljesítése tekintetében. Amennyiben a Vevő az ajánlat alapján megrendelését írásban visszaküldi az Eladó felé, azon személyt, aki a Vevő által az ajánlatkéréssel egyidejűleg megadott elérhetőségről a megrendelést az Eladó felé írásban megküldi, a Vevő képviseletére jogosult személynek kell tekinteni.

13.§ A megrendelésen Vevő köteles feltüntetni, hogy a terméket raktári átvétellel, vagy leszállítva kéri. Amennyiben a Vevő ezt nem jelöli meg, az Eladó által közölt vételár raktári átadással érvényes. Vevő az elfogadott ajánlat adásakor előre nem látható, azonban a teljesítés során és azzal összefüggésben utóbb az Eladó oldalán igazoltan felmerült költségeket köteles Eladó felé megtéríteni. Az Eladó fenntartja magának a jogot, hogy az egyedi gyártású termékek megrendelését csak előzetesen meghatározott foglaló befizetése mellett fogadja el. Az egyedi gyártású termékek esetében, amennyiben a Vevő a megrendelése elküldését követően bármikor eláll, illetve a megrendeléssel megegyezően legyártott terméket nem veszi át, köteles Eladónak a megrendelés értékével megegyező mértékű kötbért megfizetni Eladó erre irányuló felhívása alapján. A legyártott terméket az Eladó annak átadását követően nem vásárolja vissza. Arról, hogy egy adott termék egyedi gyártásúnak minősül, valamint az azzal kapcsolatos jelen § szerinti jogkövetkezményekről, az Eladó az írásbeli ajánlatában tájékoztatja Vevőt.

14.§ Az Eladó által az ajánlatban megjelölt szállítási határidő a megrendelt terméknek az Eladó raktárjából a szállítóeszközre történő felrakodás időpontjára vonatkozik. A Vevő köteles gondoskodni, hogy a szállításra kijelölt napon az általa a szállítást megelőzően Eladó felé írásban megjelölt átvételre jogosult személyek közül legalább egy személy az átvétel helyén elérhető legyen. Amennyiben Vevő ezen kötelezettségét megszegi, a leszállított termék átvételét és annak elhelyezését egyéb módon köteles biztosítani. A meghiúsult átvétellel kapcsolatosan felmerült valamennyi költséget Vevő köteles megtéríteni. Az átvételt aláírásával igazoló személyt a Vevő erre vonatkozó kifogásának hiányában a termék átvételére jogosultnak, a terméket pedig a Vevőnek átadottnak kell tekinteni. A Vevő az átvétel napját követő 1 munkanapon belül jelezheti kifogását az átvevő személlyel kapcsolatosan.

IV. SZERZŐDÉSI NYILATKOZATOK ALAKSZERŰSÉGE

15.§ Az adásvételi szerződéssel összefüggő valamennyi nyilatkozat a felek között csak írásban érvényes. Ez alól kizárólag az az eset jelent kivételt, amikor a Vevő ajánlatkérését rövid úton szóban terjeszti elő Eladó felé. Az írásbeliséggel kapcsolatos rendelkezés vonatkozik a szerződés megkötésére, annak módosítására és megszüntetésére is. Írásbelinek tekinthető a nyilatkozat, ha azt a fél a másik fél által visszaigazolt kapcsolattartási pontok valamelyikére az alábbi módon továbbította:
– postai küldeményként igazolhatóan feladta;
– elektronikus levél formájában, vagy egyéb telekommunikációs eszköz használatával továbbította;
– telefax útján küldte meg.

V. AZ ADÁSVÉTELI SZERZŐDÉS MÓDOSÍTÁSA, TELJESÍTÉSE

16.§ A felek között megkötésre került adásvételi szerződés rendelkezéseit csak annak időbeli hatálya alatt, és kizárólag írásban lehet módosítani.

17.§ A teljesítés helye az Eladó raktárja, időpontja pedig a terméknek a fuvareszközre történő felrakodásának időpontja. Raktári átvétel melletti rendelés esetén a Vevő, vagy az általa előzetesen és írásban megjelölt átvételre jogosultként megjelölt személy, illetve az általa megbízott fuvarozó köteles az átvétel érdekében az Eladó raktárjában megjelenni. Az Eladó által szervezett fuvar esetén a Vevő, illetve az általa a megrendelésben megjelölt személy – ennek esetleges hiánya esetén, a célállomáson a Vevő érdekkörében eljáró bármely személy – jogosult a termék átvételére. A termék helyszíni lerakodásának megszervezése és az ezzel kapcsolatos költség Vevőt terheli. A Vevő, illetve közreműködője az átvételkor köteles tételes mennyiségi és minőségi ellenőrzést végezni. Az Eladó szerződésszerű teljesítését igazolja, ha a Vevő, vagy megbízottja, közreműködője a szállítólevelet megjegyzés nélkül aláírásával ellátja.

18.§ Raktári átvétel esetében a Vevő az Eladó által megjelölt szállítási határidő lejártától számított 15 napon belül köteles a terméket elszállítani. Amennyiben a Vevő, vagy megbízottja a termék átvételére nem jelenik meg határidőben, az Eladó akkor is jogosult számlát kiállítani, melynek kifizetését Vevő nem tagadhatja meg. Eladó ebben az esetben az esetlegesen felmerült kára érvényesítésére is jogosult Vevővel szemben.

19.§ Az Eladó által szervezett fuvar esetében a Vevő köteles biztosítani, hogy a fuvarozást végző jármű által az átvétel helye időjárási viszonyoktól függetlenül biztonságosan megközelíthető legyen, illetve köteles biztosítani a lerakodás feltételeit is. Amennyiben a behajtás az adott szállítással érintett elzárt területre engedélyköteles, az engedélyt is Vevő köteles beszerezni. Amennyiben az átvétel meghiúsul, az Eladó visszaszállíttatja a terméket a raktárba, a meghiúsult szállítás költségeit pedig Vevő köteles megtéríteni az Eladónak. EKAER bejelentési kötelezettség esetén a Vevő írásban jelezni köteles az átvétel időpontját, illetve mindazt, amit számára a jogszabályok előírnak. Amennyiben a Vevő által megbízott fuvarozó az Eladó kifejezett felszólítása ellenére túlsúlyos rakományként szállítja, köteles a Vevő az Eladó ebből eredő valamennyi kárát megtéríteni.

20.§ A kárveszély a teljesítés időpontjában száll át a Vevőre. A teljesítés időpontja a terméknek az Eladó raktárjából a fuvareszközre történő felrakodásának időpontja.

21.§ A Vevő személyesen, vagy megbízottja útján köteles a teljesítés időpontjában az átvételre kerülő termékeket mennyiségi és minőségi vizsgálatnak alávetni. A szállítólevél Vevő, vagy megbízottja általi – kifogásmentes – aláírása a termék szerződés szerinti mennyiségi és minőségi átvételét, egyben a szerződés Eladó általi szerződésszerű teljesítését jelenti. Amennyiben a teljesítéssel kapcsolatosan kifogás merül fel, a Felek kötelesek arról azonnal írásban jegyzőkönyvet felvenni. A Vevő köteles az átvételt követően is az általa észlelt hibáról – annak pontos meghatározása mellett – írásban késedelem nélkül értesíteni az Eladót. A késedelmes értesítésből eredő károkért az Eladó nem tartozik felelősséggel.

22.§ A 21.§ szerint jegyzőkönyvben rögzített, illetve írásban megküldött kifogásról Eladó köteles a kézhezvételétől számított 15 napon belül dönteni, melynek keretei között az Eladó a termék közvetlen megvizsgálására is jogosult. A döntési határidőbe a vizsgálat időtartama nem számít bele. Vevő a vizsgálatok elősegítése érdekében köteles a terméket abban az állapotában megőrizni (pl. csomagolást nem bonthatja meg), amelyben az a kifogás bejelentésekor volt. Amennyiben az Eladó a teljesítés hibás jellegét elismeri, köteles 30 napon belül a terméket kijavítani, vagy kicserélni. Vevő azért, hogy Eladó ezen kötelezettségét határidőre tudja teljesíteni, köteles minden szükséges intézkedést megtenni. A kijavítással, illetve kicserével kapcsolatosan felmerült indokolt költségeket Eladó viseli.

23.§ Eladó hibás teljesítésért való felelősségét kizárja, ha a Vevő, vagy megbízottja a termék felhasználására, szállítására vonatkozó gyártói utasításokat nem tartotta be, és a hiba ezzel összefüggésben keletkezett.

24.§ Amennyiben az Eladó szerződési kötelezettségét vis maior okán teljesíteni nem tudja határidőben, mindaddig, amíg a vis maior meg nem szűnik szerződési kötelezettségei szünetelnek. A vállalt határidőbe nem számít be az az időszak, ameddig jelen pont szerint Eladó szerződési kötelezettségei szünetelnek.

25.§ Eladónak joga az ajánlatétel időpontjában irányadó alapanyagárakban bekövetkezett 5%-nál nagyobb mértékű emelkedése esetén az ajánlat szerinti árat az áremelkedéssel arányosan egyoldalúan megemelni. Eladót az egyoldalú emelés joga abban az esetben is megilleti, ha az euro/forint árfolyam tekintetében 5%-nál nagyobb mértékű árfolyamgyengülés következik be az ajánlatadás napján irányadó MNB által közzétett deviza középárfolyamhoz képest. Eladó ezen jogát a termék legyártásának megkezdését megelőzően gyakorolhatja. Az áremelés tényét Eladó köteles írásban megküldeni Vevő részére. Vevőnek a tájékoztatás igazolható átvételétől számított 3 napon belül jogában áll elállni a szerződéstől az áremelésre tekintettel. Amennyiben Vevő ezen jogával 3 napon belül nem él, felek között a szerződést a vételár tekintetében módosítottnak kell tekinteni.

VI. FIZETÉSI FELTÉTELEK

26.§ A vételár megfizetése az Eladó által kiállított számla szerinti határidőben esedékes. A vételár megfizetése Eladó számlája alapján történhet készpénzben a felrakodás időpontjában, vagy a jelen pont szerinti határidőn belül az Eladó számlájára történő átutalással. Átutalás esetén a vételár teljesítettnek annak az Eladó számláján történő jóváírás napján minősül. Késedelmes teljesítés esetén Eladó felé Vevő késedelmi kamatot köteles fizetni, melynek mértéke a mindenkor hatályos törvényes késedelmi kamat mértékének felel meg. Késedelmi kamat minden késedelemmel érintett nap után jár.

27.§ * Amennyiben a Vevőnek tőke, kamat, illetve költség jogcímén is fennáll tartozása, és teljesítése a teljes tartozása rendezésére nem elegendő, teljesített befizetése először a költségeket, majd a késedelmi kamatra, majd pedig a tőketartozására kerül elszámolásra. Amennyiben a Vevő mennyiségi, vagy minőségi kifogással élt Eladó irányába, ennek alapján mindaddig nem tagadhatja meg a vételár megfizetését, ameddig Eladó írásban a hibás teljesítést el nem ismerte. Amennyiben Vevő több Eladó által visszaigazolt megrendeléssel rendelkezik, Eladó mindaddig megtagadhatja a később visszaigazolt megrendelések teljesítését, ameddig Vevőnek a korábbi megrendeléshez kapcsolódó fizetési késedelme áll fenn. Eladó ezen jogát írásban gyakorolhatja. Eladó ezen jogának gyakorlása esetén a később visszaigazolt megrendelések szállítási határideje a fizetési késedelem időtartamával automatikusan meghosszabbodik.

28.§ Amennyiben a szerződésben rögzített határidők vis maior, vagy olyan egyéb ok miatt nem tarthatók be, amelyért a határidő által kötött fél nem felelős, a szerződés szerinti határidők az akadály fennállásának időtartamával minden további szerződési nyilatkozat hiányában is meghosszabbodnak. Az akadály fennállása alatt a késedelem törvényi jogkövetkezményei nem alkalmazhatóak. A felek vis maior-nak minősítik az olyan a szerződés megkötésekor kellő gondosság mellett sem előrelátható körülményt, amelyért egyik fél sem felelős, illetve az egyik fél sem képes elhárítani. Ilyen esemény különösen: belföldi vagy külföldi hatósági rendelkezés, erőhatalom, háborús cselekmények, lázadás, szabotázs, robbantásos merénylet, terrortámadás, szükséghelyzet, elemi csapás (árvíz, tűzvész, villámcsapás, más természeti katasztrófa) következményei.

VI. A TULAJDONJOG FENNTARTÁSA

29.§ Eladó a szerződés tárgyát képező termék tekintetében tulajdonjogát a teljes vételár kifizetéséig fenntartja. Vevő a terméket kizárólag az Eladó előzetes írásbeli hozzájárulása alapján idegenítheti el, vagy építheti be, illetve dolgozhatja fel a vételár teljes megfizetését megelőzően. Amennyiben Vevő a terméket az Eladó engedélye alapján tovább értékesíti, beépíti, vagy feldolgozza, jelen szerződési feltétel alapján a tulajdonjog fenntartással érintett termék vonatkozásában saját szerződő partnere irányába keletkező követelését a termék vételárának erejéig Eladóra engedményezi. Ennek tényét Vevő köteles saját szerződő partnere irányába írásban bejelenteni – a termék tulajdonjogára vonatkozó információkkal egyetemben -, és az engedményezés teljesíthetősége érdekében minden szükséges nyilatkozatot megtenni.

VII. TITOKVÉDELMI RENDELKEZÉSEK

30.§ Vevő – kártérítési felelőssége ismeretében – kötelezettséget vállal arra, hogy az adásvételi szerződés teljesítése során a tudomására jutott műszaki, jogi, üzleti és gazdasági információt, tényt, adatot, avagy dokumentumot bizalmasan, gazdasági titokként kezeli, azokat nem hozza nyilvánosságra, nem teszi harmadik személyek részére hozzáférhetővé, kivéve, ha ahhoz a másik szerződő fél előzetesen írásban hozzájárult, illetve hatósági előírás vagy kötelezés teljesítése érdekében. A titoktartási kötelezettség a szállítási szerződés ideje alatt és annak megszűnését követően is fennáll.

VIII. VEGYES RENDELKEZÉSEK

31.§ Vevő köteles az adataiban, valamint képviselőjének személyében, továbbá jogállásában, gazdálkodásában és egyéb a szállítási szerződéssel összefüggő adataiban vagy körülményeiben bekövetkezett változásról haladéktalanul írásban tájékoztatni az Eladót. Vevő köteles az ellene megindult felszámolási, végelszámolási, illetve csődeljárásról, valamint kényszertörlési eljárásról az Eladót az eljárás megindítását követően, illetve az arról való tudomásszerzését követően haladéktalanul írásban tájékoztatni. Az Eladó a Vevő fenti adatai, illetve körülményei megváltozására vonatkozó bejelentés elmulasztásából eredő kárai megtérítését követelheti a Vevőtől.

32.§ Felek az adásvételi szerződéssel vagy az Általános Szerződési Feltételekkel kapcsolatban felmerült vitás kérdéseket elsődlegesen peren kívüli egyeztetés útján kísérlik megoldani. Ennek sikertelensége esetén a szerződésből eredő mindennemű jogvita eldöntésére az Eladó mindenkori székhelye szerint járásbíróság, vagy – a jogvita tárgyától függően – törvényszék kizárólagos illetékességét kötik ki.

33.§ Az adásvételi szerződésben és az Általános Szerződési Feltételekben nem szabályozott kérdésekben a Polgári Törvénykönyvről szóló 2013. évi V. törvény szabályait, valamint a mindenkor hatályos egyéb jogszabályi rendelkezéseket kell alkalmazni.

I. SCOPE OF THE GTC, DEFINITIONS

1.§ The provisions of these General Terms and Conditions shall apply to all sales contracts concluded by HAURATON Magyarország Kft (hereinafter: the Seller) – following the entry into force of these General Terms and Conditions – with a person within the scope of his / her business who does not qualify as an individual consumer.
The Seller shall ensure that the provisions of these GTC are known to the Buyer as follows:
– primarily by making available the text in force from time to time on the website operated by the Seller at any time;
– in the offer sent by the Seller to the Buyer, by providing the Internet address in order to ensure directly the downloading option.
The Seller is entitled to unilaterally amend the provisions of these GTC, in which case it is obliged to publish the amendment on its website at least 30 days prior to the effective date. The Seller shall also inform its existing contractual partners of the change in the GTC by this means at the time the amendment enters into force.
2.§ The provisions of the GTC form an inseparable part of the sales contract concluded with the Buyer. The Buyer, by returning the signed offer to the Seller in writing (purchase order) or, if a sales contract is concluded on a separate sheet, by signing it, shall consider the contents of the GTC accepted, individually negotiated and binding on it.
3.§ Deviations from the provisions of these GTC in the sales contract may only be made in writing and on the basis of an express contractual provision based on the mutual and unanimous declaration of intent of the parties. In matters not regulated in the individual contract, the GTC and the applicable legislation related to the given legal relationship shall apply accordingly. If there is a discrepancy between the provisions of the concluded sales contract and the GTC, the provision contained in the individual sales contract shall prevail in the specific legal relationship.
4.§ Any business organization that concludes a contract with the Seller within the scope of its business activities and recognizes the provisions of these GTC as binding on itself is considered a Buyer. The Buyer is considered a contracting entity during the period of its request for quote.
5.§ The subjects of these GTC and the concluded sales contract are considered to be parties.
6.§ A written contract between the Seller and the Buyer and signed by the representatives or agents of the relevant parties within the scope of the Seller’s business activities shall be considered a sales contract. The written offer of the Seller as well as the content of the Buyer’s written order shall also be considered a sales contract. In both cases, these GTC form an inseparable part of the concluded contract. If the offer was made from the Seller’s side, the content of the contract is determined by the Buyer’s written order and the delivery note and invoice confirming the Seller’s performance. Unless otherwise provided, the date of conclusion of the contract of sale shall be the date of the Buyer’s written order or, if an individual written contract is concluded between the parties, the date thereof.

III. FORMATION OF THE CONTRACT OF SALE

8.§ A request for a contractual offer may be made orally or in writing to the Seller. The Seller will respond to the request depending on its operation, but possibly within a short period of time by sending a written offer. Simultaneously with the request for quotation, the contracting entity is obliged to provide the exact postal address or electronic mail contact details to the Seller.
9.§ The Seller shall notify the contracting entity of the validity of the offer, within the offer. Following the expiry of this period, the offer submitted shall become invalid. The contracting entity may only accept the offer in writing (purchase order). Failing this, no contract shall be concluded between the parties. In its written order, the contracting entity must respond to the complete offer sent to it and also indicate the exact place of delivery of the product ordered if the product is not delivered at a warehouse. Prior to taking over the product, the Buyer must indicate in writing to the Seller the individual(s) who are entitled to take over the product. The contracting entity may send its written order to the Seller in two forms:
– following receipt of the written offer, on a separate sheet in the form of a written order, or
– by filling in the order-related clause of the offer sent by the Seller.
By sending the written order, the Buyer acknowledges that it has read the provisions of these GTC and accepts them as binding on it. The Seller is obliged to draw the Buyer’s attention to this in the offer.
10.§ In order to prepare the most accurate offer, the Seller also provides technical advice free of charge at the request of the contracting entity. The contracting entity is responsible for the accuracy of the information sent to the Seller during the consultation period, which affects the content of the offer. By placing an order, the Buyer acknowledges that it has reviewed and accepted the technical information and solutions on which the offer is based.
11.§ The Seller reserves the right to modify the technical advice and technical information provided.

12.§ Both the Seller and the Buyer / contracting entity shall be responsible for the actions of the person acting on their behalf, in particular with regard to the conclusion of the contract and its performance. If the Buyer returns its purchase order based on the offer to the Seller in writing, the person who sends the purchase order to the Seller in writing from the contact provided by the Buyer at the same time the request for quotation was submitted, such person shall be considered to be entitled to represent the Buyer.
13.§ On the order, the Buyer is obliged to indicate whether he intends to take over the product at the warehouse or delivered to a destination. If the Buyer does not indicate this, the purchase price quoted by the Seller shall be for warehouse receipt. Buyer is obliged to reimburse to Seller any documented costs not foreseeable at the time of making the offer that was accepted, but incurred in the course of or in connection with its performance. The Seller reserves the right to accept orders for custom-made products only following the payment of a pre-determined deposit. In the case of custom-made products, if the Buyer withdraws from the contract at any time after sending the order to the Seller or does not take over the product manufactured in accordance with the purchase order, it is obliged, upon Seller’s request, to pay the Seller a penalty equal to the value of the order. The Seller does not repurchase any manufactured product following its handover. The Seller shall inform the Buyer in its written offer that a given product is considered to be individually manufactured as well as of the legal consequences thereof in accordance with this Section.
14.§ The delivery deadline indicated by the Seller in the offer applies to the date of loading the ordered product from the Seller’s warehouse onto the means of transport. The Buyer is obliged to ensure that on the day designated for delivery, at least one of the persons notified to Seller in writing prior to delivery as authorised to take over the product is available at the place of receipt. If the Buyer breaches this obligation, it is obliged to ensure the takeover of the delivered product and its placement by other means. The Buyer shall reimburse all costs incurred in connection with the failed takeover. The person certifying the takeover by signature shall be deemed entitled to take over the product, unless the Buyer objects to this, and the product shall be deemed to have been delivered to the Buyer. The Buyer may object to the individual signing the takeover of the product within 1 working day of the date of receipt.
IV. FORM-RELATED REQUIREMENTS FOR CONTRACTUAL DECLARATIONS

15.§ Any declaration related to the sales contract between the parties may only be validly made in writing. The only exception to this is when the Buyer submits his request for quotation orally to the Seller. The provision concerning written declarations also applies to the conclusion, amendment and termination of the contract. A declaration shall be deemed to have been made in writing if it is sent by one Party to one of the contact points confirmed by the other Party as follows:
– sent by certified mail;
– transmitted via electronic mail or other means of telecommunication;
– sent via facsimile.

V. AMENDMENT AND PERFORMANCE OF THE SALES CONTRACT

16.§ The provisions of the contract of sale concluded between the parties may be amended only during its term and only in writing.
17.§ The place of performance is the Seller’s warehouse; the time of performance is the time when the goods are loaded onto the means of transport. In the case of warehouse delivery, the Buyer or the person appointed by the Buyer as authorised to take over the products as notified to Seller in advance and in writing, or the forwarder commissioned by the Buyer is obliged to appear at the Seller’s warehouse in order to take over the products. In the case of transport organized by the Seller, the Buyer or the person indicated in the purchase order – in the absence of this, any person acting in the Buyer’s interest at the destination – is entitled to take over the product. The organization of the on-site discharging of the product and the related costs shall be borne by the Buyer. The Buyer or his third-party contributor is obliged to carry out itemized quantitative and qualitative checks upon takeover. The Seller’s contractual performance is certified if the Buyer, his agent or contributor signs the delivery note without any comment.
18.§ In case of delivery at warehouse, the Buyer is obliged to remove the product from the warehouse within 15 days following the expiry of the delivery deadline indicated by the Seller. In the event the Buyer or his agent does not appear to take over the product on time, the Seller shall be entitled to issue an invoice, and the Buyer may not refuse its payment. In this case, the Seller is also entitled to claim any damages suffered.
19.§ In the case of transport organized by the Seller, the Buyer is obliged to ensure that the place of handover can be safely approached by the vehicle performing the transport, regardless of weather conditions, and is also obliged to ensure the conditions for discharging. If the transport is subject to a permit for a blocked area concerned by the given delivery, the Buyer is also obliged to obtain such permit. If the takeover fails, the Seller will return the product to the warehouse, and the Buyer is obliged to reimburse the Seller for the costs of the failed delivery. In case of EKAER notification obligation, the Buyer is obliged to indicate in writing the date of receipt and any other information that is required by law. If the carrier commissioned by the Buyer transports the goods as overweight cargo despite the express request of the Seller, the Buyer is obliged to compensate the Seller for all resulting damages.
20.§ Risk of loss or damage passes to the Buyer at the time of performance. The time of performance is the time when the products are loaded onto the means of transport from the Seller’s warehouse.
21.§ The Buyer is obliged to subject the products received to a quantitative and qualitative inspection either personally or through his agent at the time of performance. The signing of the delivery note by the Buyer or his agent without reservations means the quantitative and qualitative acceptance of the product according to the contract, as well as the due performance of the contract by the Seller. If a complaint arises in relation to the performance, the Parties shall immediately record it in writing in a protocol. The Buyer is obliged to notify the Seller in writing without delay of any defect detected by the Buyer and its exact description, even after takeover. Seller shall not be liable for damages resulting from delayed notice.
22.§ The Seller is obliged to make a decision concerning the complaint recorded in the protocol as per § 21 or sent to the Seller in writing within 15 days of its receipt, in the course of which the Seller is also entitled to directly inspect the product. The duration of the inspection is not included in the decision deadline. In order to facilitate the inspection, the Buyer is obliged to keep the product in the condition in which it was when the complaint was reported (e.g., the packaging cannot be opened). If the Seller acknowledges the defective nature of the performance, it is obliged to repair or replace the product within 30 days. Buyer is obliged to take all necessary measures in order for the Seller to be able to fulfil this obligation in a timely manner. Reasonable costs incurred in connection with the repair or replacement shall be borne by the Seller.
23.§ Seller shall not be liable for defective performance if the Buyer or its agent has not complied with the manufacturer’s instructions for the use and delivery of the product and the defect occurred in connection with this.
24.§ If the Seller is unable to perform its contractual obligation on time due to force majeure, its contractual obligations shall be suspended until the force majeure event ceases. The agreed period for performance does not include the period during which the Seller’s contractual obligations were suspended in accordance with this clause.
25.§ The Seller is entitled to unilaterally increase the offer price in proportion to the price increase in the event of an increase of more than 5% in the prevailing raw material prices at the time of the offer. The Seller is also entitled to a unilaterally increase the offer price in the event of an exchange rate depreciation of more than 5% with respect to the Euro / Forint exchange rate compared to the central exchange rate published by the Hungarian National Bank on the day of the offer. Seller may exercise this right prior to commencement of the manufacturing of the product. The Seller is obliged to inform the Buyer of the price increase in writing. The Buyer is entitled to withdraw from the contract within 3 days of the verifiable receipt of the information based on the price increase. If the Buyer does not exercise this right within 3 days, the contract between the parties shall be deemed amended with regard to the purchase price.
VI. PAYMENT TERMS

26.§ Payment of the purchase price is due within the deadline according to the invoice issued by the Seller. The purchase price may be paid on the basis of the Seller’s invoice in cash at the time of loading or by bank transfer to the Seller’s bank account within the time limit specified in this clause. In the case of a bank transfer, the purchase price shall be deemed to have been paid on the day of its crediting to the Seller’s account. In case of delayed payment, the Buyer is obliged to pay late payment interest to the Seller, the rate of which corresponds to the rate of the statutory late payment interest in effect at any time. Interest on arrears shall accrue for each day affected by the delay.

27.§ * If the Buyer has a debt in the form of principal, interest or costs, and its performance is not sufficient to settle its entire debt, the payment made shall be accounted first to the costs, then to the default interest and then to the principal debt. If the Buyer has made a quantitative or qualitative complaint to the Seller, he may not refuse to pay the purchase price on this basis until the Seller has acknowledged the defective performance in writing. If the Buyer has several orders confirmed by the Seller, the Seller is entitled to refuse the fulfil the orders confirmed later as long as the Buyer is late in paying for the previous order. Seller is entitled to use this right in writing. In case of using this right of the Seller, the delivery deadline for orders confirmed later will be automatically extended by the period of the payment delay.

28.§ If the deadlines laid down in the contract cannot be complied with due to force majeure or for any other reason for which the party bound by the time limit is not responsible, the time limits provided for in the contract shall be extended for the duration of the obstacle without any further contractual declaration. During the existence of the obstacle, the statutory consequences of the delay are not applicable. The parties consider a circumstance to be force majeure which could not be foreseen even with due diligence at the time of concluding the contract, for which neither party is responsible or unable to prevent it. Such an event is, in particular: the consequences of a domestic or foreign authority’s order, act of God, acts of war, rebellion, sabotage, bomb attack, terrorist attack, emergency, natural disaster (flood, fire, lightning, other natural disaster).
VI. RESERVATION OF OWNERSHIP TITLE

29.§ Seller retains title to the product covered by the contract until the full purchase price is paid. Buyer may dispose of or install or process the product only with the prior written consent of Seller prior to full payment of the purchase price. If the Buyer resells, installs or processes the product with the permission of the Seller, it hereby assigns to the Seller its claim against its own contractual partner in respect of the product covered by the reservation of title up to the purchase price of the product. The Buyer shall notify its own contractual partner in writing of this fact, together with information concerning the ownership of the product, and shall make all necessary declarations in order for the assignment to be fulfilled.
VII. CONFIDENTIALITY

30.§ The Buyer, being aware of its liability for damages, undertakes to treat the technical, legal, business and economic information, facts, data or documents which come to its knowledge during the performance of the sales contract confidentially, as a business secret, not to disclose them or make them available to third parties unless the other contracting party has given its prior written consent or in order to comply with a requirement or obligation by a public authority. The obligation of confidentiality shall continue during the term of the contract of sale and after its termination.
VIII. MISCELLANEOUS PROVISIONS

31.§ The Buyer is obliged to immediately inform the Seller in writing of any changes in its details and the person of its representative, as well as in his legal status, management and other data or circumstances related to the supply contract. The Buyer is obliged to inform the Seller in writing about the liquidation, winding-up or bankruptcy proceedings initiated against it, as well as about the involuntary de-registration proceedings immediately after the commencement of the proceedings or after becoming aware of them. The Seller may demand compensation from the Buyer for damages resulting from the failure by the Buyer to notify the Seller of the above information and circumstances.
32.§ The parties shall try to resolve the issues related to disputes arising out of the sales contract or these General Terms and Conditions primarily through out-of-court settlement. In the event of failure to settle the dispute out-of-court, the district court or, depending on the subject matter of the dispute, the regional court having jurisdiction at the registered seat of the Seller shall have exclusive jurisdiction.
33.§ In matters not regulated in the sales contract and the General Terms and Conditions, the rules of Act V of 2013 on the Civil Code, as well as other statutory provisions in force at any time, shall apply.

This GTC is made up in Hungarian and English language. In case of any discrepancy between the Hungarian and English version the Hungarian version shall prevail.
